Expert terms

These Framer Expert Terms (the ”Expert Terms“) govern your listing and participation as an Expert in the Framer Experts listing. They are entered into by and between Framer B.V., a private limited liability company incorporated under the laws of the Netherlands, with its registered office at Rozengracht 207B, 1016 LZ Amsterdam, the Netherlands, registered with the Dutch trade register under number 59920637 (”Framer“, ”we“, ”us“ or ”our“), and the individual or entity applying for or holding an Expert listing (the ”Expert“, ”you“ or ”your”).

By clicking “I agree” (or a similar button) when you apply for, activate, or maintain an Expert listing, you accept and agree to be bound by these Expert Terms. If you accept these Expert Terms on behalf of an entity, you represent and warrant that you have authority to bind that entity, and references to “you” or “Expert” refer to that entity.

1. Definitions and Interpretation

1.1 In these Expert Terms, the following definitions apply:

”AUP” means Framer’s Acceptable Use Policy, as updated from time to time, currently available at https://www.framer.com/legal/acceptable-use-policy;

”Expert Listing” means the publicly accessible directory of Experts made available by Framer at https://www.framer.com/community/experts/ or any successor location;

”Expert Profile” means the profile, listing, and all information, statements, images, links, portfolio items, and other content that you submit, display, or make available in connection with your Expert listing;

”Platform” means Framer’s subscription-based platform for designing and publishing websites;

”ToS” means Framer’s Terms of Service, as updated from time to time, currently available at https://www.framer.com/legal/terms-of-service.

1.2 These Expert Terms supplement, and do not replace, the ToS and the AUP, which continue to apply to your use of the Platform and the Framer Community. In the event of any conflict between these Expert Terms and the AUP or ToS in respect of your Expert listing, these Expert Terms prevail solely to the extent of the conflict and solely in relation to the Expert Listing.

1.3 Headings are for convenience only and do not affect interpretation. References to a “clause” are to a clause of these Expert Terms.

2. Expert Listing

2.1 The Expert Listing is a Framer-operated feature that allows prospective clients to discover independent designers, developers, studios, and agencies who offer services relating to Framer.

2.2 Framer maintains sole discretion to determine the features, eligibility criteria, presentation, and operation of the Expert Listing, and to accept, decline, list, rank, order, feature, or omit any Expert or Expert Profile.

2.3 Your listing as an Expert does not create any employment, agency, partnership, joint venture, or franchise relationship between you and Framer, and you must not represent otherwise.

2.4 Framer does not endorse, guarantee, or warrant any Expert or the quality, accuracy, or completeness of any work described in an Expert Profile. Framer is not a party to, and assumes no responsibility for, any engagement, contract, or dispute between an Expert and any client.

3. Accurate and Current Profile Information

3.1 You represent and warrant that all information in your Expert Profile is, and will remain, accurate, current, complete, and not misleading.

3.2 Without limiting clause 3.1, you agree that:

1. your stated location, geography, and availability are correct;

2. any portfolio items, showcase sites, or case studies you display were genuinely produced by you (or by your team) and, where presented as Framer work, are built on and live on the Platform;

3. any statements about your experience, capabilities, skills, services, pricing, certifications, awards, clients, or results are truthful and can be substantiated on request; and

4. you do not misrepresent your affiliation with, or endorsement, sponsorship, or approval by, Framer or any third party.

3.3 You must keep your Expert Profile up to date and must correct any information that becomes inaccurate, outdated, or unverifiable without undue delay.

3.4 You must not include in your Expert Profile any content that breaches the AUP, infringes any third party’s rights, or is otherwise unlawful.

4. Substantiation, Review and Verification

4.1 Framer may review, verify, and re-confirm Expert Profiles from time to time in order to maintain the quality and reliability of the Expert Listing. Framer may conduct such reviews periodically or where a concern is raised.

4.2 You agree to provide, within a reasonable period following Framer’s written request, reasonable evidence to substantiate any statement or claim in your Expert Profile, including confirmation of authorship of showcased work, live URLs, or evidence of stated location, certifications, or affiliations.

4.3 Where Framer identifies information in your Expert Profile that appears inaccurate, outdated, unsubstantiated, or misleading, Framer will ordinarily notify you and give you a reasonable opportunity to correct, update, or substantiate the relevant information before taking further action under clause 5.

5. Correction, Suspension and Removal

5.1 If you do not correct or substantiate your Expert Profile within the period specified under clause 4, or if your Expert Profile or conduct breaches these Expert Terms or the AUP, Framer may, at its discretion and in a manner proportionate to the circumstances:

1. edit, hide, or remove the relevant content from your Expert Profile;

2. suspend your Expert listing pending correction or substantiation; and/or

3. remove your Expert listing from the Expert Listing.

5.2 Framer may suspend or remove an Expert listing immediately, without prior notice, where the Expert Profile or conduct involves impersonation, deliberate deception, a serious misrepresentation, unlawful content, or a material risk to Framer, its users, or third parties.

5.3 Where Framer removes or suspends an Expert listing, Framer will, where reasonably practicable and lawful, provide notice of the action and the general reason for it.

5.4 If your Expert listing is suspended or removed, you must promptly cease describing yourself as a listed Framer Expert and cease using any associated Framer badge, mark, or designation, except to the extent otherwise permitted under a separate written agreement with Framer.

5.5 You may request reinstatement by correcting or substantiating the relevant information. Framer will consider such requests in good faith but is under no obligation to reinstate a listing.

6. Intellectual Property and Badges

6.1 You retain ownership of the content you submit in your Expert Profile. You grant Framer a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, and distribute your Expert Profile content for the purpose of operating and promoting the Expert Listing. This licence terminates when the relevant content is removed from the Expert Listing.

6.2 Any badge, mark, or designation that Framer makes available to indicate Expert status remains Framer’s property. You may use it only while your listing is active, only in accordance with any usage guidelines Framer provides, and not in any misleading manner or in a way that implies a relationship with Framer beyond your listing.

7. Term and Termination

7.1 These Expert Terms take effect when you first accept them and continue for as long as you hold or apply for an Expert listing, until terminated in accordance with this clause 7.

7.2 You may terminate these Expert Terms at any time by requesting removal of your Expert listing.

7.3 Framer may terminate these Expert Terms and remove your Expert listing at any time in accordance with clause 5.

7.4 Clauses that by their nature should survive termination, including clauses 1, 2.4, 6, 8, and 9, survive termination or expiry of these Expert Terms.

8. Liability

8.1 To the maximum extent permitted by applicable law, Framer is not liable for any loss of profit, loss of business, loss of opportunity, or any indirect or consequential loss arising out of or in connection with your Expert listing, its suspension, or its removal.

8.2 Nothing in these Expert Terms limits or excludes either party’s liability where such liability cannot be limited or excluded under applicable law.

9. General

9.1 Amendment: Framer may modify these Expert Terms from time to time by posting a revised version or providing written notice. Your continued participation in the Expert Listing after the effective date of any change constitutes acceptance of the revised Expert Terms.

9.2 Notices: Framer may give notices to you by email to the address associated with your Framer account or through the Platform. You must keep your contact information accurate and current.

9.3 Assignment: You may not assign or transfer these Expert Terms without Framer’s prior written consent. Framer may assign these Expert Terms to an affiliate or in connection with a merger, acquisition, reorganisation, or sale of assets.

9.4 Severability: If any provision of these Expert Terms is held to be invalid or unenforceable, the remaining provisions remain in full force and effect.

9.5 Governing law: These Expert Terms are governed by and construed in accordance with the laws of the Netherlands.

9.6 Jurisdiction: The competent courts of Amsterdam, the Netherlands, have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Expert Terms.
